Terms of Service

These Terms of Service ("Terms") govern your use of the services provided by Automation to Business LLC ("ATB", "we", "us", or "our"), a limited liability company registered in Texas. By engaging our services or using our website, you agree to these Terms.

1. Services

ATB provides AI automation consulting services including, but not limited to, AI chat assistants, WhatsApp and messaging bots, phone automation systems, workflow automation, and document processing tools. The specific scope, deliverables, and timeline for each engagement are defined in a separate service agreement or written proposal provided to you before work begins.

2. Payment and Billing

Service fees are as described in your service agreement or proposal. Payment terms:

• Setup fees are due before work begins, unless otherwise agreed in writing
• Monthly retainer or maintenance fees are billed in advance on the first of each month
• Invoices are payable within 10 business days of issuance
• Late payments may incur a 1.5% monthly finance charge on the outstanding balance
• We reserve the right to pause service on accounts more than 30 days past due

3. Cancellation and Refund Policy

You may cancel your service at any time with written notice (email is sufficient).

• Setup fees and one-time project fees are non-refundable once work has begun
• Monthly retainer fees are non-refundable for the current billing period
• If ATB fails to deliver agreed deliverables within the agreed timeline through no fault of yours, you are entitled to a prorated refund for that period
• Upon cancellation, we will provide a 14-day wind-down period to export your data and migrate any assets

4. Intellectual Property

Upon full payment of all fees due:

• You own all content, data, and materials you provided to ATB
• You own the custom automations, bots, and workflows we build specifically for your business
• ATB retains ownership of our underlying frameworks, templates, and proprietary tools used to build your solution
• We may reference your business name and describe the general nature of services provided in our portfolio or marketing materials unless you request otherwise in writing

5. Your Responsibilities

To allow us to deliver effectively, you agree to:

• Provide accurate and complete information required for service delivery
• Obtain all necessary consents and permissions before deploying AI tools to communicate with your customers
• Comply with applicable laws, including the Telephone Consumer Protection Act (TCPA) and any applicable state privacy laws
• Not use our services for any unlawful, abusive, or deceptive purpose
• Notify us promptly of any issues or concerns with delivered work

6. Disclaimer of Warranties

Our services are provided "as is." While we work diligently to deliver high-quality solutions, we do not guarantee specific business outcomes such as revenue increases, lead generation results, or customer response rates. AI systems may occasionally produce unexpected outputs, and we do not warrant that automated tools will be error-free or uninterrupted.

7. Limitation of Liability

To the maximum extent permitted by law, Automation to Business LLC's total liability to you for any claim arising from or related to these Terms or our services shall not exceed the total fees paid by you in the three (3) months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or data loss.

8. Confidentiality

Each party agrees to keep confidential any non-public information shared by the other in connection with the services. This obligation survives termination of the service relationship for a period of two (2) years.

9. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Harris County, Texas.

10. Changes to These Terms

We may update these Terms from time to time. We will notify active clients of material changes by email at least 14 days before the changes take effect. Continued use of our services after that date constitutes acceptance of the updated Terms.
